Terms of Engagement & Governance

TERMS OF ENGAGEMENT

Engagement with SUITT signifies a commitment to excellence. These Terms of Engagement dictate the professional relationship between our firm and our clients. By utilising our expertise, you accept these standards of operation.

 

These Terms of Engagement apply to all professional services provided by SUITT, operated by EASMMA Pty Ltd, trading as SUITT – Global Brand, Marketing & Advisory Agency.

By engaging SUITT, requesting a proposal, approving a quote, or continuing to work with us, you agree to these Terms of Engagement.

1.Services

SUITT provides brand strategy, marketing strategy, property marketing, creative direction, digital marketing, website design, campaign development, photography, video, CGI, content, advisory, workshops and related consulting services.

The specific scope of work, deliverables, timing and commercial terms will be set out in a proposal, quote, scope of works or letter of engagement.

2.Fees and Payment

Fees are outlined in the relevant proposal or quote. Additional work outside the approved scope may incur additional fees, which will be confirmed before proceeding.

 

3.Client Responsibilities

Clients must provide accurate information, timely feedback, approvals, access to relevant stakeholders and any required materials needed to complete the work.

 

4.Changes to Scope

Any changes to the agreed scope, timing or deliverables may affect fees and delivery dates.

 

5.Intellectual Property

All concepts, strategies, templates, methodologies, working files and draft materials remain the property of SUITT unless otherwise agreed in writing.

Final approved deliverables transfer to the client once all outstanding invoices have been paid in full. SUITT retains ownership of its strategic frameworks, processes, know-how and pre-existing materials.

6.Approvals

The client is responsible for reviewing and approving all materials before publication, production or distribution.

 

7.Third-Party Suppliers

SUITT may work with trusted third-party suppliers, including designers, developers, photographers, videographers, CGI artists, printers, media partners, software providers and consultants.

Third-party costs, licences and platform fees are the responsibility of the client unless otherwise agreed.

 

8.Confidentiality

Both parties agree to keep confidential information secure and not disclose it without consent, unless required by law.

 

9.Portfolio Rights

Unless otherwise agreed in writing, SUITT may reference completed public work in its portfolio, marketing material, presentations, awards submissions and website.

10. Limitation of Liability

SUITT will provide services with reasonable care and skill. To the extent permitted by law, SUITT is not liable for indirect, consequential or commercial losses arising from use of its services or deliverables.

11.Termination

Either party may terminate an engagement by written notice. The client remains responsible for fees relating to work completed, work in progress and committed third-party costs up to the date of termination.

12.Governing Law

These Terms are governed by the laws of Victoria, Australia.
